Keep-Alive Decade Terms
These terms govern the purchase of a Keep-Alive Decade subscription — a one-time $240 payment for ten (10) years of preservation access to existing Abundera QR Pro dynamic codes. This addendum is incorporated into and modifies the Abundera QR Terms of Service for any account that purchases the Decade tier.
Version 1.0 · Effective 2026-04-24 · Plain-English drafting by Abundera, Inc. Pending outside counsel review before the first Decade sale.
1. What you're buying
Abundera QR Pro sells a Keep-Alive Decade subscription as a one-time $240 payment. In exchange, Abundera agrees to maintain resolution for the dynamic QR codes associated with your account for ten (10) years from the date of purchase, subject to the terms below. A "dynamic QR code" for the purposes of this addendum means a code previously created under a paid Pro tier and converted to Keep-Alive preservation.
2. What's included and excluded
Included during the 10-year term:
- Redirect resolution for every dynamic QR code on your account at the time of conversion to Keep-Alive, subject to the reasonable-use caps below.
- The right to change each code's destination URL no more than once every 30 days.
- Read-only access to a 30-day summary of scan analytics.
- Data export at any time (codes, summary scan counts, README) per the standard Terms of Service.
- Advance notice as described in Section 6.
Excluded during the 10-year term:
- Creation of new dynamic QR codes (requires a paid Pro tier).
- Design changes to a code (logo, colors, frame) after conversion.
- Team seats, team invites, or any multi-user features.
- REST API access or API-key authentication.
- Scan analytics at hourly granularity or any window longer than 30 days.
- Priority support (standard support per the response-time page applies).
3. Refund policy
This is the Decade refund schedule, not the standard Pro cancellation policy.
- Full refund for 180 days. If you cancel within 180 days of purchase, you receive a full $240 refund. No questions asked. This covers reasonable buyer's remorse plus the time it takes to verify Keep-Alive meets your needs.
- Prorated refund after 180 days. If you cancel after 180 days, you receive a refund calculated as:refund = $240 × (120 − months_elapsed) / 120"months_elapsed" is calculated as the number of completed calendar months between the purchase date and the cancellation request date. Partial months round down (so purchasing on January 15 and cancelling on February 10 counts as 0 months, not 1). Example: cancelling at month 24 yields a refund of $240 × (120 − 24) / 120 = $192. Cancelling at month 60 yields $120. Cancelling at month 119 yields $2.
- No refund for the final month. A cancellation requested in the final 30 days of the 10-year term does not produce a refund; the remaining service is consumed as delivered.
- Refund method. Refunds are issued to the original payment method via Stripe. Allow 5–10 business days for the funds to post.
- Grace carry-over. If you purchase the Decade while inside the 90-day post-cancellation grace window for a prior Pro subscription, your remaining grace days are added on top of the 10-year term. Example: cancelling Pro with 60 grace days remaining and then buying the Decade the same day yields a
keepalive_expires_atof (now + 10 years + 60 days), not (now + 10 years). This clause exists so buyers don't pay twice for time Abundera already promised under the 90-day grace.
4. Scope of the preservation commitment
During the 10-year term Abundera will operate the redirect infrastructure at a level of service consistent with the Terms of Service for the Keep-Alive tier. Specifically:
- Abundera will make commercially reasonable efforts to maintain resolution uptime at or above 99.5% measured on a monthly rolling basis.
- Abundera is not liable for downtime attributable to the underlying hosting provider (currently Cloudflare), upstream DNS, or force-majeure events.
- Scan volume on Keep-Alive codes is capped at 100,000 scans per month per account. Codes that repeatedly exceed this cap may be subject to the operational-limit provisions in the main Terms of Service.
5. What happens if Abundera shuts down or discontinues the Keep-Alive tier
This is the clause the Decade product exists to cover. If Abundera, Inc. (or its successor) ceases operating the Keep-Alive tier before the 10-year term completes, the following applies:
- Minimum 180 days of advance notice to every Keep-Alive Decade subscriber via the email address on file. Notice will describe the shutdown date, reason, and the export and refund procedures below.
- Prorated refund of unused term. You receive a refund calculated using the Section 3 formula based on months elapsed at the shutdown date.
- Data export window. The dashboard and export endpoints remain available for at least 180 days after the shutdown announcement, regardless of subscription status.
- Static-backup QR preservation. The static backup QRs generated alongside each dynamic code (encoded directly with your destination URL) continue working indefinitely and are not affected by any shutdown. This is architectural: the static backups do not touch Abundera infrastructure.
- Insolvency limitation. If the shutdown is caused by Abundera's insolvency, bankruptcy, receivership, assignment for the benefit of creditors, or similar event, subscribers' refund rights under this Section 5 and under Section 3 become general unsecured claims against the bankruptcy estate and are subject to the priorities and limitations of applicable insolvency law. Subscribers are not secured creditors, do not hold a trust or escrow interest in the unrecognized portion of their prepayment, and may recover less than the formula amount (or nothing) if assets are insufficient. This clause does not limit Abundera's good-faith obligation to honor the refund formula while solvent. Nothing in this clause is a waiver of any consumer-protection right that cannot be waived by contract in the subscriber's jurisdiction.
6. Advance notice at the 9-year mark
At the end of year 9 (no later than the 108-month anniversary of purchase), Abundera will email every active Decade subscriber 180 days of advance notice that the 10-year term is approaching its end. The email will include:
- The exact expiration date of the Decade term.
- A direct link to renew into a new Decade term at the then-current price.
- A direct link to export all account data (codes, scans, README).
- An explanation of the 90-day grace window that begins automatically at expiration.
After the 10-year term ends, the account transitions to the standard Pro 90-day grace-period mechanics. After grace ends, dynamic codes stop resolving; static backup QRs continue working.
7. Transferability
A Keep-Alive Decade subscription is non-transferable between accounts. It is, however, bound to the email address of the original purchaser and survives ownership changes of the underlying organization (e.g. if the purchaser's company is acquired). Contact support@abundera.ai for account re-association requests.
8. Renewal and price changes
The Decade price is locked at $240 for the duration of the 10-year term. Renewals (whether at the 9-year mark or after expiration) are at Abundera's then-current Decade price, which may differ from $240. Abundera will not unilaterally change the price of an already-purchased Decade term.
9. Governing law and disputes
This addendum is governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles. Any dispute arising under this addendum will be resolved exclusively in the state or federal courts located in Clark County, Nevada. You and Abundera each waive the right to a jury trial in any such dispute. Nothing in this section limits either party's rights to pursue small-claims remedies in your local jurisdiction for claims under that forum's small-claims threshold.
10. Changes to these terms
Abundera will not change these terms for an already-purchased Decade subscription without the subscriber's affirmative consent. Future versions of these terms apply only to Decade subscriptions purchased after the new version's effective date. A version-history of all prior versions of this addendum will be maintained at /legal/keep-alive-decade/history/ for the duration of all outstanding Decade terms.
11. Relationship to the main Terms of Service
This addendum supplements the Abundera QR Terms of Service. Where a provision of this addendum conflicts with the main Terms, this addendum controls for purposes of the Decade subscription. All other Pro features, commitments, and user obligations in the main Terms (including privacy, acceptable use, and the no-lock-in architectural commitments) apply without modification.
