Terms of Service

These Terms apply to Abundera QR Pro (the paid service at pro.qr.abundera.ai). For the free Abundera QR tool at qr.abundera.ai, see qr.abundera.ai/terms/.

Terms for both the free QR generator and the paid Abundera QR Pro service.

Version 2.0 (pending counsel review). Version 1.x covered only the free tool. Version 2.0 adds terms for paid Pro subscriptions. Last updated 2026-04-17. Effective 2026-04-24.

These Terms of Service (the "Terms") govern your use of Abundera QR, operated by Abundera, Inc. ("Abundera", "we", "us"). By using the free generator at qr.abundera.ai or by creating an account on pro.qr.abundera.ai (the "Pro Service"), you agree to these Terms. If you do not agree, do not use the service.

1. Definitions

2. Pro Service — account and subscription

2.1 Account creation

The Pro Service requires an account, created via delegated authentication from abundera.ai. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us at support@abundera.ai if you suspect unauthorized access.

2.2 Subscription plans

Current plans, prices, included code counts, and included monthly scan volumes are listed at pro.qr.abundera.ai. We may change prices for new subscribers at any time. We will not change prices for an existing active subscription without providing at least thirty (30) days' notice and allowing you to cancel before the new price takes effect.

2.3 Billing and auto-renewal

Subscriptions billed monthly renew monthly. Subscriptions billed annually renew annually. Renewal is automatic unless cancelled before the renewal date. All payments are processed by Stripe, Inc. We do not store card data. You authorize us to charge the payment method you provide for the initial fee plus all renewal fees until you cancel.

2.4 Failed payments

If a renewal payment fails, Stripe will retry per its standard dunning policy (four attempts over approximately two weeks). During that window your account enters past-due status: redirects keep working; writes (creating or editing codes) are blocked. If all retries fail, the account transitions to the 90-day grace window (Section 5.2).

2.5 Taxes

Prices exclude applicable taxes. If Stripe Tax is enabled for your region, taxes are calculated and added at checkout. You are responsible for any taxes not collected by us.

3. Refunds

4.1 Monthly plans

Cancel any time. You keep Pro Service features through the end of the current billing period. No refund is issued for the remainder of the month you have already consumed.

4.2 Annual plans

Two options:

  1. Cancel now and keep Pro Service features until the annual period expires; no refund.
  2. Request a prorated refund via support@abundera.ai. The refund is calculated as: amount paid minus months used × the monthly-rate equivalent of your plan. This effectively reclaims the annual discount for the period you did consume. Standard Stripe refund flow applies; allow 5–10 business days.

4.3 Keep-Alive Decade

The Keep-Alive Decade refund schedule is specified in the Keep-Alive Decade Terms and supersedes Section 4.2 for that product.

4.4 Upgrades and downgrades

Upgrades (e.g., Solo → Business) take effect immediately; no prorated charge until the next billing cycle. Downgrades take effect at the end of the current billing period.

4. Cancellation, grace, termination

5.1 Cancellation by you

You may cancel any subscription at any time through the billing portal linked from your account page, or by emailing support@abundera.ai. Cancellation takes effect as described in Sections 4.1–4.2.

5.2 90-day grace period

After cancellation, failed-payment expiry, or a subscription ending without renewal, your dynamic QR codes continue resolving for 90 days. The dashboard is read-only during grace. You may reactivate by resubscribing at any point during those 90 days, at which point full service resumes instantly. After 90 days, dynamic QR codes stop resolving. Static backup QRs (generated alongside every dynamic code) continue working indefinitely; they do not touch our infrastructure.

5.3 Termination by us

We may suspend or terminate your access to the Pro Service, with or without notice, if: (a) you materially breach these Terms or the Acceptable Use Policy; (b) your payment method fails beyond the grace window; (c) we are required to do so by law or court order; or (d) we decide in good faith that your account poses a security or abuse risk. Where termination is for cause, any prepaid-but-unused balance is non-refundable. Where termination is without cause (we stop offering the service entirely), we provide at least 180 days' notice and a prorated refund of any unused prepaid period.

5.4 Account deletion

You may request account deletion at any time from the account page. Your account enters a 30-day hold during which deletion can be reversed by emailing support@abundera.ai. After 30 days, all personal data is purged from our production systems, subject to retention we are legally required to keep (see Privacy Policy).

5. Content, intellectual property, and license

6.1 Your content

You retain all rights in the Content you provide. You grant us a non-exclusive, worldwide, royalty-free license to host, serve, and redirect users to that Content solely for the purpose of operating the Pro Service for you. This license ends when your account is deleted or when a code's grace window expires.

6.2 Our service

The Pro Service, including its UI, documentation, API, and source code, is owned by Abundera and protected by copyright, trademark, and other applicable law. Except as expressly permitted in these Terms, you may not copy, modify, distribute, or reverse-engineer the service.

6.3 Feedback

If you send us suggestions, feature requests, or other feedback, we may use that feedback without obligation to you. You grant us a perpetual, irrevocable, royalty-free license to use it.

6.4 DMCA / copyright complaints

We respect copyright. If you believe Content accessible through a dynamic QR code infringes your copyright, send a notice to dmca@abundera.ai including: identification of the work, identification of the allegedly infringing Content (the code shortcode or URL), your contact information, a statement of good-faith belief that the use is unauthorized, a statement of accuracy under penalty of perjury, and your signature. We will respond per the DMCA safe-harbor procedure (17 U.S.C. § 512).

6. Acceptable Use

You agree to comply with the Abundera Acceptable Use Policy, which is incorporated into these Terms by reference. Key prohibitions include (without limitation) using the service to facilitate phishing, malware distribution, illegal content, trademark infringement, extortion, or bot-amplified abuse. The AUP describes our remediation procedures, including the cases in which we may notify, throttle, suspend, or terminate an account for abuse.

7. Rate limits and operational caps

Each plan lists an included monthly scan volume. Exceeding your cap does not cause redirects to stop resolving. We will not rate-limit you solely to force an upgrade. We may, in documented abuse scenarios defined in the AUP, apply reasonable operational limits to preserve service for all users.

API-key authentication is subject to per-day request limits (1,000 on Business, 10,000 on Team, 50,000 on Agency). Response headers include X-RateLimit-Remaining.

8. Privacy and data protection

Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf (e.g., scan analytics attributable to your end users), the terms at abundera.ai/legal/dpa/ apply. Enterprise customers may request a countersigned DPA via enterprise@abundera.ai.

9. Warranties and disclaimers

The Pro Service is provided as is and as available. We do not warrant that the service will be uninterrupted, error-free, secure against every threat, or fit for any specific purpose. We make no implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.

We do commit to commercially reasonable efforts to maintain Pro Service availability at or above 99.5% monthly uptime, measured across the redirect path. This commitment is descriptive, not a contractual SLA with credits. Enterprise customers requiring credited uptime should contact enterprise@abundera.ai.

10. Limitation of liability

To the maximum extent permitted by law, Abundera and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, business interruption, or loss of data, arising out of or related to these Terms or the service.

Our total aggregate liability for any claim arising out of or related to these Terms or the service is limited to the greater of: (a) the amount you paid us for the Pro Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the minimum extent permitted.

11. Indemnification

You agree to defend, indemnify, and hold Abundera harmless from any third-party claim arising out of: (a) your use of the service in violation of these Terms or the AUP; (b) Content you provided via the Pro Service; (c) your infringement of a third party's intellectual property or privacy rights through the service. We will notify you promptly of any such claim and cooperate in the defense.

12. Changes to these Terms

We may modify these Terms from time to time. For material changes affecting a paid subscription, we will provide at least thirty (30) days' notice by email to the address associated with your account and by posting the updated Terms at this URL. Your continued use of the Pro Service after the effective date of a material change constitutes acceptance. If you do not accept, cancel your subscription before the effective date and no further charges will apply. Minor clarifying edits (typos, formatting) take effect on posting.

13. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the service will be resolved exclusively in the state or federal courts located in Clark County, Nevada. You and Abundera each waive the right to a jury trial in any such dispute. Nothing in this section limits either party's right to pursue small-claims remedies in your local jurisdiction for claims within that forum's small-claims threshold.

14. Export controls and sanctions

You represent that you are not located in, and are not a national or resident of, any country subject to US government embargoes, and that you are not listed on any US government list of prohibited or restricted parties.

15. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of our assets, with notice to you.

16. Entire agreement and severability

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any product-specific addenda referenced above, constitute the entire agreement between you and Abundera regarding the service. If any provision is held unenforceable, the remainder remains in effect.
